NSW Police said two small runabouts collided.
Emergency services including two ambulance helicopters, four ambulances and water police rushed to the scene, which is off the coast of the isolated Ku-Ring Gai National Park.
A woman found unconscious couldn't be saved, police said.
A man in his 20s suffered head injuries and was taken to Royal North Shore Hospital in a stable condition, NSW Police said.
Christine Marks from NSW Ambulance called the scene "very difficult".
"This was a major mobilisation of emergency services in very difficult circumstances — pitch black, across cold water, in a very inaccessible location," she said.
"I'm sorry that there's been such a tragic outcome in this case."
Police are investigating and will prepare a report for the coroner.
